Waaree Energies acquires controlling stake in Kotsons

Waaree Energies Ltd has acquired controlling equity stake in Rajasthan-headquartered transformer manufacturer Kotson’s Pvt Ltd (KPL).

In a stock exchange notification, Waaree Energies said that it completed the acquisition of 64 per cent equity stake in Kotsons for a total consideration of Rs.192 crore.

 

Consequently, Kotsons has become a subsidiary of Waaree Energies Ltd, effective October 7, 2025.

 

On September 2, 2025, Waaree Energies held a board meeting wherein the company’s proposal of entering into a share subscription and shareholders agreement for acquisition of 64 per cent of the share capital of Kotson’s Pvt Ltd, for a total consideration of Rs.192 crore, was approved.

Incorporated in 1978, Kotsons is in the business of designing, manufacturing and supplying advanced transformer solutions.

Kotsons has a diverse array of transformer solutions, from oil-filled and dry-type to special purpose transformers and transformers for renewable energy applications. The company’s current annual manufacturing capacity is 4,000 MVA.

The rationale behind the acquisition was to enable vertical integration, market expansion, and access to electrical ecosystem for projects, enhancing control over the supply chain and quality of the product, Waaree Energies said in its disclosure of September 2, 2025.
