Hitachi Energy India Ltd, Bharat Heavy Electricals Ltd (BHEL) and Rajasthan Part I Power Transmission Ltd (RPPTL) have executed a novation agreement with respect to the mega Rajasthan HVDC contract.
In a regulatory filing dated November 16, 2025, Hitachi Energy India Ltd said that the company, BHEL and RPPTL have entered into a novation agreement with respect to the mega HVDC contract placed by RPPTL on a consortium of Hitachi Energy India Ltd and BHEL.
The HVDC contract comprises a series of supply and services contracts there were formalized on April 3, 2025, between RPPTL and a Hitachi Energy India Ltd-BHEL consortium.
As per the novation agreement executed between the parties on November 14, 2025, the rights and obligations held by RPPTL in the original contract will now be transferred to another Adani Group entity “AESL Projects Ltd” (APL), which was formerly known as Adani Energy Solutions Step-Ten Ltd and which is a wholly-owned subsidiary of Adani Energy Solutions Ltd (AESL).
“All other terms and conditions of the Project, as disclosed earlier, remain unchanged, and all past, ongoing, and future rights, liabilities, obligations, and duties of RPPTL will be assumed by APL as the ‘Incoming Party’ upon the Novation Agreement taking effect,” the filing by Hitachi Energy India Ltd said.
According to information released by Hitachi Energy India Ltd through a press release dated April 3, 2025, the contract will see the consortium design and deliver HVDC terminals to transmit renewable energy from the Bhadla area of Rajasthan to the industrial and transport hub in Fatehpur, Uttar Pradesh. The 6,000 MW, 950-km HVDC link can power approximately 60 million households in India.
The project scope includes converter transformers, AC/DC control and protection, thyristor valves, 765kV/400kV grid connections, and auxiliary systems to be delivered by Hitachi Energy India Ltd. and its consortium partner BHEL. (Read full story dated April 3, 2025)
The 6,000 MW, ±800kV bi-pole and bi-directional HVDC terminals are part of the transmission system to transfer power from the potential renewable energy zone in the Bhadla area of Rajasthan. This interstate transmission system (ISTS) project is formally termed as “Transmission system for evacuation of power from REZ in Rajasthan (20 GW) under Phase III, Part I.”
The aforementioned ISTS project was housed under project SPV “Rajasthan Part I Power Transmission Ltd,” incorporated by bid process coordinator REC Power Development & Consultancy Ltd (RECPDCL) as its wholly-owned subsidiary, on April 30, 2023.
Adani Energy Solutions Ltd emerged as the winning developer for this project under the TBCB framework, and acquired “Rajasthan Part I Power Transmission Ltd” on January 20, 2025. Upon its acquisition, Rajasthan Part I Power Transmission Ltd (RPPTL) became a wholly-owned subsidiary of Adani Energy Solutions Ltd.
According to legal-wires.com, “Novation, under Section 62 of the Indian Contracts Act, 1872, allows the substitution of an existing contract with a new one, either by altering terms or replacing parties. It discharges the original contract, creating fresh obligations through mutual consent of all parties involved.”
