Kalpataru Projects sells residual holding in Kohima-Mariani Transmission to Apraava Energy

Kalpataru Projects International Ltd (KPIL) has announced that it has sold its residual 26 per cent equity stake in an interstate transmission scheme “Kohima-Mariani Transmission Ltd” to Apraava Energy.
With this sale, which was formalized on June 24, 2026, Kohima-Mariami Transmission Ltd (KMTL) has now become a wholly-owned subsidiary of Apraava Energy.
According to information available with tndindia.com, KMTL was incorporated in January 2016 as a wholly-owned subsidiary of bid process coordinator PFC Consulting Ltd (PFCCL) to develop an ISTS scheme “North Eastern Region Strengthening Scheme (NERSS) – VI” under the TBCB mode.
A consortium of Kalpataru Projects International Ltd (stake: 74 per cent) and Techno Electric & Engineering Company Ltd (stake: 26 per cent) was selected as the winning developer. The SPV was acquired by the consortium in March 2017, and the project was fully commissioned in October 2020.
In July 2019, KPIL (then known as Kalpataru Power Transmission Ltd) entered into an agreement to sell its 74 per cent equity stake in KMTL to Apraava Energy (then known as CLP India), in a phased manner. While around 48 per cent equity stake was sold subsequently, sale of the remaining 26 per cent was concluded on June 24, 2026.
In July 2019 itself, Techno also entered into an agreement to sell its 26 per cent stake in KMTL to Apraava Energy. This transaction was completed in December 2021.
By December 2021, Apraava’s stake in KMTL was 49 per cent, rising to 74 per cent by February 2023, and now to 100 per cent.
NERSS–VI
A northeast India-centric scheme, NERSS-VI involved putting up a new 400/220kV, 2×500 MVA substation at Kohima in Nagaland. This was connected to the Imphal substation in Manipur through a 400kV double-circuit line running 272 ckm. The project also included a 400kV double-circuit line of 236 ckm connecting the Kohima substation to the Mariani substation in Assam. With an estimated cost of Rs.653 crore, the project was fully commissioned in October 2020, not deviating much from the scheduled July 2020.
Kalpataru-Apraava
KMTL is the second transmission asset owned (or co-owned by Kalpataru Projects), now under the Apraava Energy ownership. Prior to this, Kalpataru sold its entire equity stake in an intrastate scheme in Madhya Pradesh, housed under “Kalpataru Satpura Transco Pvt Ltd.” Incidentally, this acquisition, completed in November 2019, marked Apraava Energy’s entry in the power transmission space.
It is noteworthy that in July 2019, Kalpataru entered into an agreement with Apraava Energy to divest its entire equity stake in another interstate scheme “Alipurduar Transmission Ltd” spread over Bihar and West Bengal. However, this transaction did not go through and Alipurduar was eventually acquired by Adani Energy Solutions Ltd.
